1. Introduction

Welcome to Siora! These Terms of Service (“Terms”) govern your use of the website siora.ai (the “Site”) and the soil analysis services (the “Services”) provided by Siora Ltd (“we,” “us,” or “our”). By accessing the Site or purchasing our Services, you agree to be bound by these Terms.

2. The Services

We provide satellite-based soil analysis reports based on data you provide for a specific geographical area. The results are delivered as a digital report (containing PDF, XLSX, and PNG heatmap files) to your email address. We aim to deliver the report within 24 hours of a successful payment.

The results are estimates derived from predictive models and are intended to guide soil management strategies

3. Orders and Payment

  • Pricing: Our Services are priced at a flat fee of 5.00 EUR per hectare, inclusive of any applicable taxes.
  • Payment: All payments are processed securely through our third-party payment processor, Stripe. We do not store your full credit card details on our servers.
  • Contract Formation: A binding contract is formed once your payment is successfully processed and you receive a confirmation email from us, which also marks the moment of service delivery.

4. User Responsibilities

You are solely responsible for the accuracy and completeness of the geographical data (e.g., coordinates, boundary files) you provide for the analysis. We generate reports based on the exact data submitted. We are not liable for inaccurate reports resulting from incorrect or incomplete data provided by you.

5. Right of Withdrawal for Consumers

This section applies only to consumers as defined under the EU Consumer Rights Directive.

  • 14-Day Cooling-Off Period: You have the right to withdraw from this contract within 14 days without giving any reason.
  • Withdrawal Period: The withdrawal period will expire 14 days from the day you receive your digital report via email.
  • How to Exercise: To exercise the right of withdrawal, you must inform us of your decision by a clear statement (e.g., an email to [email protected]). You may use the model withdrawal form below, but it is not obligatory.

6. Refund Policy

6.1. For Consumers in the European Union. Consumers, as defined under the EU Consumer Rights Directive, have a statutory right to withdraw from this contract within 14 days of receiving the digital report without giving any reason. To exercise this right, you must inform us via a clear statement (e.g., an email to [email protected]). If you withdraw, we will reimburse all payments received from you for the specific service without undue delay, and not later than 14 days from the day we are informed of your decision.

6.2. For Business Customers and Other Cases. For all business-to-business (B2B) customers, or for consumer requests made after the 14-day statutory period has expired, Siora Ltd. has no obligation to provide a refund. However, we may choose to offer a full or partial refund on a case-by-case basis at our sole discretion. 7. Intellectual Property

You retain ownership of the specific geographical data you provide to us. We grant you a worldwide, perpetual, non-exclusive, royalty-free license to use, reproduce, and distribute the digital report we generate for you for your personal or internal business purposes.

Siora Ltd retains all rights, title, and interest in and to our Site, the underlying technology, algorithms, and any anonymized or aggregated data used to improve our Services.

8. Limitation of Liability

8.1. Service Provided “As Is”. The Services and all data, reports, and analyses (“Data”) are provided on an “as is” and “as available” basis without any warranties of any kind, whether express or implied. The Data is generated from statistical models based on third-party satellite imagery and is subject to inherent limitations and potential inaccuracies. Siora Ltd. explicitly disclaims all warranties, including, but not limited to, warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, and non-infringement.

8.2. Not a Substitute for Professional Advice and Physical Testing. The Data provided by the Services is intended for informational and guidance purposes only, to help identify in-field soil variability. It is NOT a substitute for physical, in-field soil sampling conducted by accredited laboratories or for professional agronomic advice. You must validate the Data with physical sampling before making any financial or operational decisions.

8.3. Assumption of Risk. You acknowledge and agree that you use the Data at your sole risk. You are solely responsible for any actions you take or fail to take based on the Data, and for all resulting consequences, including but not limited to costs of fertilizer, crop yields, and soil health outcomes.

8.4. Limitation of Liability. To the maximum extent permitted by law, in no event shall Siora Ltd., its directors, employees, or affiliates be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses (such as costs of incorrect fertilizer application or crop loss), arising out of or relating to the use of, or inability to use, the Service.

8.5. Maximum Liability. If Siora Ltd. is found to be liable, our total aggregate liability for any and all claims arising out of these Terms or the use of our Services shall be limited to the amount you paid for the specific Service giving rise to the claim.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Bulgaria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Varna, Bulgaria.

10. Online Dispute Resolution for Consumers

In accordance with EU Regulation No 524/2013, we inform you that as a consumer, you are entitled to seek an out-of-court settlement for consumer disputes via the European Union’s Online Dispute Resolution (ODR) platform. The platform is accessible at: http://ec.europa.eu/odr.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this Site.
